Welcome to Naypex. These Terms of Use ("Terms") govern your access to and use of naypex.com, operated by Naypex LLC.
1. Acceptance of Terms
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
2. Accounts
You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3. Marketplace Model
Naypex is a multivendor marketplace. Products are sold by independent third-party vendors, not by Naypex directly. Naypex provides the platform and facilitates transactions. Each vendor is responsible for their product descriptions, pricing, quality, shipping, and compliance with applicable laws.
4. Buyer Terms
- All prices are in US Dollars
- Payment is processed securely through Stripe
- Orders are fulfilled by individual vendors
- Shipping times and methods vary by vendor
- Returns are subject to our Return Policy
5. Vendor Terms
- Vendors pay a 6% commission on each completed sale — no other fees
- Commission is automatically deducted at point of sale via Stripe Connect; remaining funds are instantly routed to the vendor's connected bank account
- Vendors must comply with all applicable laws
- Vendors are responsible for accurate listings, fulfillment, and customer service
- Naypex reserves the right to suspend or terminate vendor accounts for violations
6. Prohibited Items
Vendors may not list: counterfeit or trademarked items without authorization; hazardous materials; weapons; illegal drugs or controlled substances; stolen property; items that violate any applicable law.
7. Intellectual Property
All Naypex branding, logos, and Site content are owned by Naypex LLC. Vendors retain ownership of their product content but grant Naypex a license to display it on the Site.
8. Limitation of Liability
Naypex is a marketplace platform. We are not the seller and are not liable for product quality, safety, legality, or accuracy of listings. Our liability is limited to platform fees paid in the 12 months preceding any claim.
9. Dispute Resolution
Disputes between buyers and vendors should first be resolved directly. If unresolved after 3 business days, Naypex may mediate at its discretion.
10. Governing Law
These Terms shall be governed by the laws of the State of New Jersey, without regard to conflict of law provisions.
