Welcome to Naypex! By registering as a vendor on our marketplace, you agree to these Vendor Terms and Conditions (“Terms”), which form part of our overall Terms of Use. Please read them carefully before opening your store.


1. About Naypex

Naypex is an online marketplace for desi products, connecting vendors who sell physical goods with buyers around the world. Naypex provides the platform and technology; vendors are independent sellers responsible for their own products, stores, and customer service. Naypex is not a party to the transaction between vendors and buyers.


2. Eligibility

To sell on Naypex, you must:

(a) Be at least 18 years of age or the age of legal majority in your jurisdiction.

(b) Provide accurate and complete registration information, including your legal name, valid email address, physical address, and payment details.

(c) Comply with all applicable federal, state, and local laws, including tax obligations, consumer protection regulations, and product safety standards.

(d) Maintain your account information in an accurate and up-to-date manner at all times.

(e) Not operate more than one vendor account without prior written approval from Naypex.


3. Vendor Approval

All new vendor registrations are subject to review and approval by Naypex. Registering does not guarantee approval. Naypex reserves the right to accept or reject any vendor application at its sole discretion. Approved vendors may be required to complete identity verification before their store becomes active.


4. What You Can Sell

Naypex is a marketplace for physical products. Vendors may list items including, but not limited to:

  • Traditional jewelry, bangles, and accessories
  • Clothing and apparel (including ethnic and fusion wear)
  • Home décor and furnishings
  • Food products, spices, and pantry items (subject to applicable food safety regulations)
  • Health, beauty, and personal care products
  • Art, handicrafts, and handmade goods
  • Kitchen and dining products
  • Puja and spiritual items
  • Books, stationery, and educational materials

All products must comply with applicable laws and regulations, including labeling, safety, and import/export requirements.


5. What You Cannot Sell

The following items are strictly prohibited on Naypex:

(a) Counterfeit, replica, or unauthorized goods bearing another party’s trademark or intellectual property.

(b) Stolen property or goods obtained through illegal means.

(c) Weapons, ammunition, explosives, or any items classified as dangerous goods.

(d) Illegal drugs, controlled substances, drug paraphernalia, or unapproved pharmaceuticals.

(e) Tobacco products, e-cigarettes, and related accessories.

(f) Alcohol and alcoholic beverages.

(g) Hazardous materials, chemicals, pesticides, or recalled products.

(h) Pornographic, obscene, or sexually explicit material.

(i) Live animals or products derived from endangered or protected species.

(j) Human remains, body parts, or bodily fluids.

(k) Digital products, downloadable goods, services, or virtual items.

(l) Items that promote hatred, violence, discrimination, or terrorism.

(m) Products that violate any applicable law, regulation, or third-party rights.

(n) Multi-level marketing (MLM) products, gift cards, want ads, crowdfunding listings, or non-product listings.

Naypex reserves the right to remove any listing and suspend or terminate any vendor account that violates these prohibitions.


6. Product Listings

(a) Accuracy. All product listings must accurately describe the item being sold, including materials, dimensions, weight, country of origin, and any relevant certifications. Product photographs must depict the actual item offered for sale.

(b) Review and Approval. All new product listings and significant edits to existing listings are subject to review by Naypex before being published. Naypex may reject any listing that does not comply with these Terms or our marketplace standards.

(c) Categories and Tags. Vendors must assign appropriate categories and tags to their products. Miscategorization or keyword manipulation to artificially increase visibility is prohibited.

(d) Pricing. Vendors are solely responsible for setting product prices. Prices must be stated in USD and must include all costs except shipping and applicable taxes. Deceptive pricing practices, including artificially inflating prices to create the appearance of a discount, are prohibited.

(e) Inventory. Vendors must maintain accurate inventory levels. Listing items that are not in stock or available for timely shipment is prohibited.


7. Fees and Commission

(a) Commission Structure. Naypex operates on a category-based commission model. The marketplace retains a percentage of each sale as a commission fee. The current default commission rate is 6% of the product sale price (excluding shipping and taxes). Commission rates may vary by product category and are displayed in your vendor dashboard.

(b) Commission Calculation. Commission is calculated on the product sale price before shipping fees and taxes. Shipping fees are paid directly to the vendor. Product tax and shipping tax are collected and managed by Naypex.

(c) Changes to Fees. Naypex reserves the right to modify commission rates with 30 days’ advance written notice to vendors. Continued use of the platform after such notice constitutes acceptance of the revised rates.


8. Payments and Withdrawals

(a) Payment Processing. All transactions are processed through Naypex’s approved payment gateways. Vendors must not solicit or accept payments outside of the Naypex platform.

(b) Withdrawal Methods. Vendors may withdraw their earnings via PayPal or Bank Transfer, as configured in their vendor dashboard.

(c) Minimum Withdrawal. The minimum withdrawal amount is $50.00.

(d) Withdrawal Eligibility. Funds become eligible for withdrawal only after the associated order has been marked as “Completed.” Funds are subject to a 7-day holding period after order completion before becoming available for withdrawal.

(e) Disbursement Schedule. Automated disbursements are processed biweekly (twice per month), on the first and third Mondays of each month.

(f) Taxes. Vendors are solely responsible for reporting and paying all applicable income taxes on their earnings. Naypex may be required to report vendor earnings to tax authorities as mandated by law. Naypex will issue IRS Form 1099-K to vendors meeting the applicable federal reporting thresholds.


9. Shipping and Fulfillment

(a) Shipping Responsibility. Vendors are solely responsible for packaging, shipping, and delivering products to buyers. Vendors receive shipping fees collected at checkout to cover their shipping costs.

(b) Shipping Timeline. Vendors must ship orders within the processing time stated in their store settings. If no processing time is specified, orders must be shipped within 3 business days of payment confirmation.

(c) Tracking. Vendors must provide valid tracking information for all shipped orders and update the order status promptly in their vendor dashboard.

(d) Shipping Rates. Vendors are responsible for setting accurate shipping rates in their store settings. Shipping rates must reflect the actual cost of shipping and may include reasonable handling fees.

(e) Packaging. Products must be packaged securely and appropriately to prevent damage during transit. Vendors are responsible for any damage resulting from inadequate packaging.

(f) International Shipping. Vendors who offer international shipping are responsible for compliance with export regulations, customs declarations, and any applicable duties or tariffs.


10. Returns, Refunds, and Disputes

(a) Return Policy. Vendors must establish and clearly communicate a return policy in their store settings. At minimum, vendors must accept returns for items that are significantly not as described, damaged in transit, or defective.

(b) Refund Processing. Refunds must be processed within 5 business days of receiving the returned item in satisfactory condition.

(c) Dispute Resolution. In the event of a dispute between a vendor and a buyer, Naypex may intervene to mediate. Naypex’s decision in such disputes is final and binding on both parties. Naypex reserves the right to issue refunds to buyers from vendor earnings when warranted.

(d) Chargebacks. Vendors are responsible for the financial impact of chargebacks resulting from their transactions, including any associated fees.


11. Customer Service Standards

Vendors on Naypex are expected to maintain high standards of customer service:

(a) Response Time. Respond to buyer messages within 24 hours during business days.

(b) Professionalism. All communication with buyers must be professional, courteous, and respectful.

(c) Order Updates. Keep buyers informed of order status, including confirmation of shipment, tracking information, and any delays.

(d) Issue Resolution. Work proactively to resolve buyer concerns. Contact buyers promptly if an issue arises with their order.

Naypex monitors vendor performance metrics including response time, order completion rate, cancellation rate, and customer feedback. Vendors who consistently fail to meet these standards may have their selling privileges restricted or revoked.


12. Intellectual Property

(a) Your Content. By listing products on Naypex, you grant Naypex a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute your product images, descriptions, and other content for the purpose of operating and promoting the marketplace.

(b) Respecting Others’ Rights. Vendors must not list products that infringe upon the intellectual property rights of any third party, including copyrights, trademarks, patents, and trade secrets. Vendors are solely responsible for ensuring their products and listings do not violate any third-party rights.

(c) Infringement Claims. Naypex will respond to valid intellectual property infringement notices in accordance with applicable law. Listings found to infringe third-party rights will be removed, and repeat offenders will have their accounts terminated.

(d) Brand Names and Trademarks. Vendors must not use another party’s brand name, logo, or trademark in their listings unless they are authorized to do so. Using terms such as “inspired by” or “similar to” does not exempt a listing from intellectual property enforcement.


13. Privacy and Data Protection

(a) Buyer Information. Vendors will receive buyer information (such as name, shipping address, and email) solely for the purpose of fulfilling orders. Vendors must not use buyer information for any other purpose, including marketing, without the buyer’s explicit consent.

(b) Data Security. Vendors must take reasonable measures to protect buyer information from unauthorized access, disclosure, or misuse.

(c) Compliance. Vendors must comply with all applicable data protection and privacy laws, including the California Consumer Privacy Act (CCPA) and any other applicable state or federal privacy regulations.


14. Vendor Conduct

(a) Vendors must not engage in any activity that is fraudulent, deceptive, or misleading.

(b) Vendors must not manipulate search results, reviews, ratings, or any other marketplace feature.

(c) Vendors must not create fake accounts, fake orders, or fake reviews.

(d) Vendors must not harass, threaten, or abuse other members of the Naypex community.

(e) Vendors must not use the Naypex platform to distribute spam, malware, or phishing content.

(f) Vendors must not circumvent or attempt to circumvent any security measures, commission structures, or platform features.


15. Reviews and Ratings

(a) Buyers may leave reviews and ratings for products they have purchased. Reviews must reflect the buyer’s genuine experience.

(b) Vendors may respond to reviews in a professional manner. Vendors must not intimidate, coerce, or incentivize buyers to leave, modify, or remove reviews.

(c) Naypex reserves the right to remove reviews that violate our community standards, contain inappropriate content, or are determined to be fraudulent.


16. Account Suspension and Termination

Naypex may suspend, restrict, or terminate a vendor’s account for any of the following reasons:

(a) Violation of these Terms or any Naypex policy.

(b) Listing prohibited items or items that infringe third-party rights.

(c) Failure to meet minimum customer service standards.

(d) Receipt of excessive negative reviews, disputes, or chargebacks.

(e) Fraudulent, deceptive, or illegal activity.

(f) Failure to pay outstanding fees or reverse withdrawal balances.

(g) Extended inactivity (no active listings or sales for 6 consecutive months).

(h) Any other conduct that Naypex reasonably determines to be harmful to the marketplace, its members, or its reputation.

Upon termination, any outstanding earnings (less applicable fees, refunds, and chargebacks) will be disbursed to the vendor in accordance with Section 8. Naypex reserves the right to withhold funds pending resolution of any open disputes or investigations.


17. Limitation of Liability

Naypex provides the marketplace platform on an “as is” and “as available” basis. To the maximum extent permitted by law:

(a) Naypex makes no warranties regarding the availability, reliability, or performance of the platform.

(b) Naypex is not liable for any lost profits, lost sales, or indirect, incidental, consequential, or punitive damages arising from your use of the platform.

(c) Naypex’s total liability to any vendor shall not exceed the total commission fees paid by that vendor to Naypex in the 12 months preceding the claim.


18. Indemnification

Vendors agree to indemnify, defend, and hold harmless Naypex, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to:

(a) The vendor’s products, listings, or business operations.

(b) Any violation of these Terms by the vendor.

(c) Any violation of applicable law by the vendor.

(d) Any infringement of third-party rights by the vendor.


19. Modifications to These Terms

Naypex reserves the right to update or modify these Terms at any time. Vendors will be notified of material changes via email or through the vendor dashboard at least 30 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance of the modified Terms.


20. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Naypex platform shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, with the arbitration conducted in the State of New Jersey. Each party shall bear its own costs of arbitration.
